This CREDIT AGREEMENT is entered into as of June 4, 2013, among the following: (i) MF Global Holdings Ltd. (the “Company”); (ii) each other entity party hereto as a “Borrower” (each, together with the Company, a “Borrower”, and collectively the “Borrowers”); (iii) the lenders from time to time party hereto (each a “Lender” and collectively, the “Lenders”); and (iv) Deutsche Bank Trust Company Americas, as the administrative agent (the “Administrative Agent”).
