This Confidential Private Placement Offering Memorandum (this “Memorandum”) has been prepared by YouNow, Inc. for use by accredited investors to whom YouNow, Inc. is offering (the “Offering”) the opportunity to purchase the right to acquire in the future pursuant to a Simple Agreement for Future Tokens (the “SAFT”) units of PROPS tokens to be developed, produced and offered by YouNow (“PROPS”, the “Token” or the “Tokens”). For purposes of this Memorandum, the “Maximum Placement Amount” means the maximum amount that may be sold pursuant to this Offering, as determined by the Company in its sole discretion, which in no event shall exceed $25,000,000.00 in the aggregate. Unless the context requires otherwise, in this Memorandum the terms “YouNow,” “the Company,” “we,” “us” and “our” refer to YouNow, Inc. and its subsidiaries and all dollar ($) amounts set forth herein refer to United States dollars.
