THIS OPTION AGREEMENT, is entered into this , day of , 2017 by and between Shelby County Board of Education, the governing body of Shelby County Schools, a public local school district organized pursuant to T.C.A. 9-17-101, et seq., with its principal offices located at 160 S. Hollywood St. Memphis, TN 38112, hereinafter referred to as ‘SCS, or “Optionor,’ and The Memphis Housing Authority, a public housing authority organized pursuant to T.C.A. 13-20-101 et seq., with its principal offices located at 700 Adams Avenue, Memphis, TN 38105, hereinafter referred to as ‘MHA,’ or ‘Optionee.’ The collective reference of SCS and MHA in this Agreement shall be ‘Parties,’ or ‘the Parties.’
