This Power Purchase and Sale Agreement (“Agreement”) is executed as of February __, 2008 (the “Effective Date”), by and between the Eugene Water & Electric Board, a municipal utility organized and existing under the laws of the State of Oregon (“Purchaser”), and U.S. Geothermal Inc., a corporation organized and existing under the laws of the State of Idaho (“Seller”).
