THIS TAX COMPLIANCE AGREEMENT (the “Tax Agreement”), entered into as of January 1, 2013, among the City of Westwood, Kansas, a municipal corporation duly organized and existing under the laws of the State of Kansas (the “Issuer”), Midwest Transplant Network, Inc., a nonprofit corporation organized and existing under the laws of the State of Missouri (the “Institution”), and Commerce Bank, a Missouri state-chartered banking corporation having its principal corporate trust office located in Kansas City, Missouri, as Bond Trustee (the “Bond Trustee”);
