This Purchase and Sale Agreement (this “Agreement”) is made and entered into this 9th day of May, 2012, by and between Element Petroleum, LP, a Delaware limited partnership (the “Seller”), and BreitBurn Operating L.P., a Delaware limited partnership (the “Buyer”). Buyer and Seller are collectively referred to herein as the “Parties” and are sometimes referred to individually as a “Party.”
