This Confidentiality Agreement ("Agreement"), entered into and effective as of the ___ day of May, 2000 (the "Effective Date"), is by and between InterGen North America Development Company LLC ("InterGen"), a Delaware limited liability company with its principal place of business at 909 Fannin, Suite 2222, Houston, Texas 77010, and Houston Pipe Line Company and Enron North America Corp. (collectively the "Enron Companies"), each a corporation organized under the laws of Delaware, with their principal place of business at 1400 Smith St., Houston, Texas 77006. InterGen and the Enron Companies may be referred to individually as "Party" and collectively as "Parties."
