Reference is made to the Credit Agreement dated as of June 9, 2008 (as amended, supplemented or otherwise modified from time to time, the “Credit Agreement”), among the Specified U.S. Borrower, Holdings, CWD Windows and Doors, Inc., the lenders from time to time party thereto (the “Lenders”), the Collateral Agent and Credit Suisse, as administrative agent (in such capacity, the “Administrative Agent”).
