Exhibit 10.46EMPLOYMENT AGREEMENTAGREEMENT (the “Agreement”), dated as of January 1, 2012, between Advance Auto Parts, Inc. (“Advance” or the “Company”), a Delaware corporation, and Jimmie L. Wade (the “Employee”).The Company and the Employee agree as follows:1.Position; Term of Employment. The Company agrees to employ the Employee subject to the terms and conditions of this Agreement. The Employee will (i) oversee the operations and management of the Company's subsidiary, Autopart International, and (ii) serve as the Chairman of the Board of Directors of Autopart International.
