AGREEMENT (“First Amendment”), dated for reference purposes only as of March , 2011, is made and entered into by and among the City of San Diego, a municipal corporation and charter city organized and existing under the laws of the State of California (the “City”), the Redevelopment Agency of the City of San Diego, a public body, corporate and politic, duly organized and existing under the laws of the State of California (the “Agency”), acting through the Centre City Development Corporation, a non-profit public benefit corporation (“CCDC”), and the San Diego Unified Port District, a public entity, duly organized and existing as a port district under and by virtue of the laws of the State of California (the “Port”). The City, the Agency, CCDC and the Port are collectively referred to in this First Amendment as the “Parties” and individually as a “Party.” The Parties enter into this First Amendment in light of the following recited facts, each a “Recital.”
