AMENDMENT AGREEMENT, dated as of August 17, 2010 (the “Amendment”), to the PURCHASE CONTRACT dated as of February 12, 1996, as amended on February 11, 1999 and July 12, 2007 (the “Purchase Contract”), between THE BANK OF NEW YORK MELLON TRUST COMPANY, N.A.
