Certain Definitions: (i) "Affiliates" shall mean, in respect of an entity, any other entity which directly or indirectly controls, is controlled by, or is under common control with the subject entity. For the purpose of this definition, “control” means direct or indirect ownership or control of more than 50% of the voting interest of the subject entity; (ii) “Authorized Supplier” shall mean a Supplier who is duly authorized by an original equipment manufacturer to supply the latter’s branded products or services, (iii) "Buyer Custom Development” means any and all content, ideas, technical information, inventions, discoveries, improvements, methods, techniques, software (object and source code), training material, processes and works of authorship, and other information conceived, developed, or first reduced to practice by Buyer, its employees, consultants or representatives (including but not limited to Supplier, its employees, consultants or representatives) or jointly with Buyer, or
