This Agreement amends and restates in its entirety that certain Amended and Restated Receivables Contribution and Sale Agreement dated as of August 8, 2007, among the parties (the “Existing Agreement”), which Existing Agreement amended and restated in its entirety that certain Receivables Contribution and Sale Agreement dated as of August 24, 2006 among the parties (the “Original Agreement”).
