Leidos, Inc., a Delaware corporation (the “Issuer”), proposes to issue and sell to the Initial Purchasers listed in Schedule I of the Purchase Agreement (as defined below) (the “Initial Purchasers”), for whom Citigroup Global Markets Inc., MUFG Securities Americas Inc. and BofA Securities, Inc. are acting as representatives (the “Representatives”), upon the terms and subject to the conditions set forth in the Purchase Agreement, dated May 7, 2020 (the “Purchase Agreement”), $500,000,000 aggregate principal amount of its 2.950% Notes due 2023 (the “2023 Notes”), $500,000,000 aggregate principal amount of its 3.625% Notes due 2025 (the “2025 Notes”) and $750,000,000 aggregate principal amount of its 4.375% Notes due 2030 (the “2030 Notes” and, together with the 2023 Notes and the 2025 Notes, the “Notes”).
