THIS EXECUTIVE EMPLOYMENT AGREEMENT (this “Agreement”) is entered into by and between VM Consolidated, Inc., a Delaware corporation having its principal offices in Mesa, Arizona and a wholly owned subsidiary of Verra Mobility Corporation (together with Verra Mobility Corporation, the “Company”), and Jon Keyser (the “Executive”). This Agreement shall become effective on the date of the last signatory hereto, provided, however, that the Agreement is fully executed by November 8, 2022. If the Agreement is not fully executed by November 8, 2022, it shall become null and void.

THIS AMENDED AND RESTATED EXECUTIVE EMPLOYMENT AGREEMENT (this “Agreement”) is entered into by and between VM Consolidated, Inc., a Delaware corporation having its principal offices in Mesa, Arizona and a wholly owned subsidiary of Verra Mobility Corporation (“VM Consolidated” and, together with Verra Mobility Corporation, the “Company”) and Adam Blake (the “Executive”). This Agreement must be executed by Executive on or before October 20, 2021, and if so executed, shall become effective on, and is contingent upon the occurrence of, the Closing Date pursuant to, and as defined in, that certain Agreement and Plan of Merger (the “Merger Agreement”), by and between VM Consolidated, T2 Systems Parent Corporation, Merger Sub and the Representative (each as defined in the Merger Agreement).
