THIS SUBORDINATION AGREEMENT (this "Agreement") is made as of the 30th day of December, 2015, by and among EXCEL LONG ISLAND LLC, a Delaware limited liability company ("ELI"), EXCEL MANAGER 3 LLC, a Delaware limited liability company ("Manager"), and MIDCAP FINANCIAL TRUST, a Delaware statutory trust, as agent (in such capacity, "Agent") for itself and certain other lenders ("Lenders") under the Credit and Security Agreement referred to below.
