The Authority has been duly created and is validly existing as an instrumentality of Carroll County and the City of Carrollton, and is a public corporation, all as more particularly set forth in an amendment to Article V, Section IX, Paragraph I of the Constitution of the State of Georgia of 1945 (1962 Ga. Laws 1135 et seq.) now specifically continued as a part of the Constitution of the State of Georgia of 1983 pursuant to an Act of the General Assembly of the State of Georgia (1985 Ga. Laws 3987 et seq.), as implemented by an Act of the General Assembly of the State of Georgia (1963 Ga. Laws 3242 et seq.) (collectively, the “Act”). , 2017, and is entered into by and between the Carrollton Payroll Development Authority, a public body corporate and politic created and existing under the Constitution and laws of the State of Georgia (the “Authority”), and Colorado Premium Foods, a Colorado corporation (the “Company”), in order to evidence their agreements as the respective parties hereto. The Board of Commissioners of Carroll County (the “County”), the City of Carrollton, Georgia (the “City”), and the Board of Tax Assessors of Carroll County (the “Board ofAssessors”), are each executing an Acknowledgment hereof attached to this Agreement in order to acknowledge its agreement to the provisions hereof which are applicable to it.
