THIS OPERATING AGREEMENT (the "Agreement") is entered into this 1st day of October, 2014 (the "Effective Date"), by and among the members named on the signature pages hereto (the "Members") of Series II (the “Series”) of Diversified Management Services, LLC, an Oklahoma limited liability company (the "Company"). It is intended that property may be contributed to the Series in general, and that assets of the Series shall be kept separate from the assets of the Company, in general, and any other Series and that the debts, liabilities and obligations incurred, contracted for or otherwise existing with respect to this Series of the Company will be enforceable against the assets of this Series only, and not against the assets of the Company in general or any other series thereof.
