This Business Associate Agreement (“Agreement”) is entered between ("Covered Entity" or "CE") and , ("Business Associate" or "BA"), collectively “the Parties,” who agree as follows:

BA shall supply CE with the following services: (the “Services”) that require the use and/or disclosure by CE of Protected Health Information as herein defined. These Services are provided pursuant to a “Services Agreement" between the Parties, and this Agreement shall be incorporated as an integral part of the Services Agreement. In connection with those services, Business Associate will have access to certain information that is subject to the Health Insurance Portability and Accountability Act of 1996 (“HIPAA”) and its implementing privacy and security regulations at 45 Code of Federal Regulations (“C.F.R.”) Parts 160-164 (“HIPAA Privacy Rule” and “HIPAA Security Rule” or “HIPAA Privacy & Security Rule”), the applicable provisions of Article 39, Chapter 57 of the North Carolina General Statutes, and the Family Educational Rights and Privacy Act (“FERPA”).
