This Agreement (“Agreement”) shall be deemed effective as of November 28, 2001 (the “Effective Date”), between VarTec Telecom, Inc. d/b/a VarTec Telecom (“VarTec”), a corporation organized under the laws of the State of Texas, with offices at 1600 Viceroy Drive, Dallas, Texas 75235 and Verizon North Inc., f/k/a GTE North Incorporated and Verizon South Inc., f/k/a GTE South Incorporated (“Verizon”), a corporation organized under the laws of the State of Wisconsin with offices at 8001 West Jefferson, Ft. Wayne, IN 46804 (Verizon and VarTec may be referred to hereinafter, each, individually as a “Party”, and, collectively, as the “Parties”).
