This sets forth the agreement (“Agreement”) between Bottling Group, LLC, a Delaware limited liability company, and its affiliates and/or respective subsidiaries collectively comprising Pepsi Beverages Company with an office located at 5435 Dylan Drive, Suite 100, South Bend, IN 46628 (“Pepsi”) and City of South Bend Venues Parks & Arts, with its principal place of business at 321 E. Walter Street, South Bend, IN 46614 (the “Customer” or “City”) relating to (i) the purchase by the Customer from Pepsi of the Products and (ii) the sale by Pepsi of Products through full service vending machines. The support described below is in lieu of any other discounts, allowances or rebates to which the Customer might otherwise be entitled from time to time.
