Licensor warrants and represents (i) that Licensor has the exclusive right to enter into this Agreement and to grant all the rights herein conveyed, (ii) that the consent of no other party is necessary to effectuate the full and complete permission granted herein, and (iii) Licensor has obtained all required clearances, consents and licenses as are necessary with respect to Producer’s use of the Licensed Material contemplated herein, including but not limited to, clearances and/or permissions from all persons appearing in or rendering services in connection with the Licensed Material or their heirs and/or legal representatives as applicable, as well as all copyright clearances and permissions. Licensor assumes liability for, and shall indemnify, defend, protect, save and hold harmless Producer, its parent company, and their respective partners, divisions, subsidiary and affiliated divisions and companies, distributors, assigns, licensees and affiliates, and the respective shareholders,
