This Agreement of Compromise and Settlement (the “Agreement”) is entered into among the Ohio Public Employees Retirement System, State Teachers Retirement System of Ohio and Ohio Police & Fire Pension Fund (collectively, the “Lead Plaintiff”), on behalf of the Settlement Class (as defined below), and PricewaterhouseCoopers LLP (“PwC”) (the Lead Plaintiff and PwC collectively, the “Settling Parties”), by and through their respective counsel.
