(the “Company”) has granted you a Performance Restricted Stock Unit award under Section 7(c) and of the Cymer, Inc. 2011 Equity Incentive Plan (the “Plan”) for the number of shares of the Company’s common stock (the “Common Stock”) indicated in the Grant Notice (collectively, the “Award”). The Award is not intended to qualify as a Performance Stock Award (as such term is defined in the Plan) and is not otherwise intended to qualify as “performance-based compensation” for purposes of Section 162(m) of Internal Revenue Code.
