AGREEMENT (as amended and restated, this “Agreement”) is made and entered into this day of , 2021 by and between the COLORADO DEPARTMENT OF TRANSPORTATION (“CDOT”), an executive agency of the State of Colorado (“State”), the COLORADO HIGH PERFORMANCE TRANSPORTATION ENTERPRISE, a government-owned business and a division of CDOT (“HPTE”) and the COLORADO BRIDGE ENTERPRISE, a government- owned business within CDOT (“BE”). CDOT, HPTE and BE are hereinafter referred to individually as a “Party” and collectively as the “Parties.” HPTE and BE are hereinafter referred to individually as an “Enterprise” and collectively as the “Enterprises.” As of the Effective Date of this Agreement, the Original IAA (as defined below) between the Parties shall be terminated and shall have no further force or effect, except as specifically provided for in Section IX.15 of this Agreement.
