THIS REAL ESTATE PURCHASE AND SALE AGREEMENT (this “Agreement”) is dated as of , 2021 (the “Effective Date”) and is entered into by and between East Bay Community Energy Authority, a Joint Powers Authority formed pursuant to California Government Code § 6500, et seq., by the County of Alameda and the Cities of Albany, Berkeley, Dublin, Emeryville, Fremont, Hayward, Livermore, Oakland, Piedmont, San Leandro, Union City, Newark, Pleasanton, and Tracy (“Buyer”), and 360 VENTURES VIII LLC, a California limited liability company (“Seller”).
