1], 2018 (the “Agreement”), by and between the Successor Agency to the Community Development Commission of the City of Rohnert Park (the “Successor Agency”) and MUFG Union Bank, N.A., acting in its capacity as escrow agent (the “Escrow Bank”) and as the Prior Bonds Trustee (as defined below), is entered into in accordance with an Indenture of Trust, dated as of May 1, 1991, as amended and supplemented by a First Supplemental Indenture of Trust, dated as of January 1, 1999, and a Second Supplemental Indenture of Trust, dated as of September 1, 2001 (collectively, the “Prior Indenture”), each by and between the Community Development Commission of the City of Rohnert Park (the “Former Agency”) and MUFG Union Bank, N.A., as successor trustee thereunder (the “Prior Bonds Trustee”), to refund all of the outstanding Prior Bonds (as such term is defined below).
