Failure" Schedule 8.7; "Relevant Counterparty" means each other person with whom the Contractor enters into a Co-operation Agreement in accordance with:(a) paragraph 4.2;(b) paragraphs 4.4 and 4.5; or(c) paragraph 4.6,of Part C of this Schedule 8.7 (and includes, for the avoidance of doubt, any New Counterparty); "Relevant Deadline" has the meaning given in paragraph 4.4(b) of Part C of this Schedule 8.7.
