(“Bancshares”), Tyler, Texas, a registered bank holding company, and its subsidiary bank, American State Bank (the “Bank”), Arp, Texas, a state-chartered bank that is a member of the Federal Reserve System, Bancshares, the Bank, the Texas Department of Banking (the “Department”) and the Federal Reserve Bank of Dallas (the “Reserve Bank” and together with the Department, the “Supervisors”) have mutually agreed to enter into this Written Agreement (the “Agreement”);
