These Special Provisions are attached to and form a part of the Base Contract for Sale and Purchase of Natural Gas (NAESB Standard 6.3.1 dated September 5, 2006) by and between ____________ (“Counterparty” or “Party A”) and Southern California Edison Company (“SCE” or “Party B”) dated ___________ (the “Originating Contract”). Capitalized terms used in these Special Provisions shall, unless otherwise defined herein, have the meanings ascribed to them in the Originating Contract. Sections referenced in these Special Provisions refer to a Section of the General Terms and Conditions of the Originating Contract, unless otherwise specified. In the event of any conflict or inconsistency between these Special Provisions and the General Terms and Conditions of the Originating Contract, these Special Provisions shall control.
