This Agreement, including Amendment No. 1 (TRO Amendment) hereto (“Agreement”) shall be deemed effective as of March 3, 2004 (the “Effective Date”), between PNG Telecommunications, Inc., d/b/a PowerNet Global Communications (“PNG”), a corporation organized under the laws of the State of Ohio, with offices at 100 Commercial Drive, Fairfield, OH 45014 and Verizon North Inc. (“Verizon”), a corporation organized under the laws of the State of Wisconsin with offices at 1717 Arch Street, Philadelphia, PA 19103 (Verizon and PNG may be referred to hereinafter, each, individually as a “Party”, and, collectively, as the “Parties”).
