This Exclusive Negotiation and Development Agreement (this "Agreement") is entered into as of this day of April, 2022, (the "Effective Date") by and among, on the one hand, the Riviera Beach Community Redevelopment Agency, a body corporate and politic created pursuant to Part III, Chapter 163, Florida Statutes (hereinafter called "Agency") and, on the other hand, APDS-TEZRAL RBMVII, LLC , a Florida limited liability company (hereinafter called "Master Developer") (each, individually, a "Party" and collectively, the "Parties").
