This Agency Agreement (the “Agreement”) is made and entered into this 2nd day of October, 2013, (the “Effective Date”) by and among Cubic Asset LLC (“Counterparty”), a Delaware limited liability company, and BP Energy Company (“BP”), a Delaware corporation.
