This Settlement Agreement is made and entered into on April 24, 2023, by and among Defendant Giftly Inc. (“Giftly”) and Plaintiffs WeCare RG, Inc. d/b/a Café Ole in the Valley, Gracie Baked LLC, and Andrea Schoenbein d/b/a Second Chance Treasures (collectively, “Plaintiffs”), who have filed suit as representatives of a proposed class in the class action WeCare RG, Inc., et al. v. Giftly Inc., Case No. 2:22-cv-02672-WB, currently pending before the Honorable Wendy Beetlestone in the United States District Court for the Eastern District of Pennsylvania. Plaintiffs enter into this Settlement Agreement both individually and on behalf of the Settlement Class (defined below). This Settlement Agreement is intended by the Settling Parties (defined below) to fully, finally, and forever resolve, discharge, and settle the Released Claims (defined below), upon and subject to the terms and conditions hereof.
