dated as of December 21, 2018, is made by and among LTYR Logistics, LLC, a California limited liability company (the “Company”), Sunniva, Inc., a corporation organized under the laws of Canada (“Sunniva”), CP Logistics, LLC, a North Carolina limited liability company (the “Purchaser”), and Kevin Wilkerson, Jason Myers and Brad Neeld (collectively, the “Members” and each, individually, a “Member”).
