This Agreement is made and entered into as of this , day of , 2012 (“Effective Date”) by and between Sophic Systems Alliance, Inc. a New York corporation, having a place of business at 20271 Goldenrod Lane, Suite 2027, Germantown, MD 20876 (hereinafter referred to as "SOPHIC") and , having a place of business at , hereinafter referred to as “LICENSEE.” Both SOPHIC and LICENSEE are referred to together as “the Parties,” and shall include, individually and collectively, their officers, directors, consultants, independent contractors and employees.
