This Settlement Agreement (“Settlement Agreement”) is made by and between the Town of Charlton, Massachusetts (“Town”), the Town of Charlton Planning Board (“Planning Board”), and Patricia Rydlak, Jean Vincent, Alycia Dzik, Ross Lemansky, Don Clay and John Smith, as the past and present members of the Planning Board (together, with the Town and the Planning Board, the “Town Defendants”), on the one hand, and Valley Green Grow, Inc., Valley Green Grow, LLC (together, “Valley Green Grow”), Charlton Orchards Group, LLC, Nathan R. Benjamin, Jr. and Catherine L. Benjamin, and all of their successors, assigns and related entities (together with Valley Green Grow, the “Plaintiffs”). Together, the Town Defendants and the Plaintiffs are the “Parties” to this Settlement Agreement.
