This Settlement Agreement (“Agreement”) is made and entered into this 15th day of December, 2016 by and between Panasonic Corporation (“Panasonic Corp.”) and the direct- purchaser plaintiff class representatives (“Plaintiffs”), both individually and on behalf of the direct purchaser class in the above-captioned class actions (the “Class”) as more particularly defined in Paragraph 1 below.
