On the basis of the representations, warranties, and covenants contained in this Note Purchase Agreement, and upon the terms and conditions contained herein, the undersigned, Stifel, Nicolaus & Company, Incorporated (the “Underwriter”), acting on behalf of itself and not acting as a fiduciary or agent for the Santa Fe Public School District (the “Issuer”), offers to enter into the following agreement (the “Agreement”) with the Issuer which, upon the Issuer’s written acceptance of this offer, will be binding upon the Issuer and upon the Underwriter. This offer is made subject to the Issuer’s written acceptance hereof on or before 10:00 P.M., prevailing Mountain Time, on the date set forth above, and, if not so accepted, will be subject to withdrawal by the Underwriter upon written notice delivered to the Issuer at any time prior to the acceptance hereof by the Issuer.
