This Non-Disclosure Agreement (“Agreement”) is entered into as of the Effective Date set forth below (“Effective Date”), by and between Optronic ABC, LLC as Assignee for the Assignment for the Benefit of Creditors of Optronic Holding Corp., Optronic Technologies Inc., dba Orion Telescopes & Binoculars, Inc., Sunny Optics, Inc., Meade Acquisition Corp dba Meade Instruments, and Meade Instruments Mexico (collectively referred to herein as “Debtor”) (“Disclosing Party”), and the undersigned Receiving Party (“Receiving Party”).
