The undersigned (the “Subscriber”) hereby irrevocably subscribes and agreed to purchase Series A preferred stock of Avatar Airlines, Inc. (the “Company”), par value $.001 per share (each a “Series A Preferred Share” and collectively, the “Series A Preferred Shares”) at a purchase price of $15.00 per share. I understand that in connection with such purchase, the Company will grant to the Subscriber, and the Subscriber hereby subscribes for, the Series A Preferred Shares, on the terms and conditions described herein and in the Company’s Private Placement Memorandum dated July 1, 2016 and any amendments or supplements thereto (the “Memorandum”).
