This Master Services Agreement (“MSA”) dated [insert date] (“Effective Date”) sets out the terms and conditions under which [insert Rizing entity name] (“Rizing”) with offices at [insert Rizing entity address] will provide the services (“Services”) and deliverables (“Deliverables”) to [insert client name] (“Client”) with offices at [insert client address], as specified in separately signed Statements of Work (“SOW(s)”) (collectively the “Agreement”). This MSA is only effective together with a SOW in which the terms and conditions set out herein will be incorporated. In the event of conflict, an attachment to this MSA shall prevail over this MSA and the terms of any SOW shall prevail over this MSA. Rizing and Client are jointly herein referred as “Parties” and, solely, as “Party”.
