Clean Harbors, Inc., a Massachusetts corporation (the “Company”), proposes, subject to the terms and conditions stated herein, to issue and sell to Goldman, Sachs & Co. (the “Purchaser”) $250,000,000 aggregate principal amount of the Company’s 5.125% Senior Notes due 2021 (the “Securities”). The Securities will be issued by the Company pursuant to the indenture dated as of December 7, 2012 (the “Indenture”), among the Company, the Guarantors (as defined below) and U.S. Bank National Association, as trustee (the “Trustee”). The Company’s obligations under the Securities, including the due and punctual payment of interest on the Securities, will be unconditionally guaranteed (the “Guarantees”) by each of the subsidiaries of the Company listed on Schedule II hereto (the “Guarantors”) at the Time of Delivery (as defined below).

The Securities will be issued by the Company pursuant to an indenture dated as of July 30, 2012 (the “Indenture”), among the Company, the Guarantors (as defined below) and U.S. Bank National Association, as trustee (the “Trustee”). The Company’s obligations under the Securities, including the due and punctual payment of interest on the Securities, will be unconditionally guaranteed (the “Guarantees”) by each of the subsidiaries of the Company listed on Schedule II hereto (the “Guarantors”).
