This SHARE EXCHANGE AGREEMENT (the “Agreement”) has been made and entered into effective as of the 7th day of July, 2021, by and among Alpha Wastewater, Inc., a Nevada corporation having its principal business address at 3649 Brunswick Avenue North, Minneapolis, MN 55422 (“AWWI” or the “Company”); Everhome Realty, Inc., Delaware corporation having its principal business address at 699 Hampshire Rd, #105 Westlake Village, CA 91361("Everhome"), the shareholders of Everhome that represent 100% of the issued and outstanding shares of Everhome and their designee(s)s as set forth on Schedule 1.1 attached hereto (collectively, jointly and severally "Everhome Shareholders"). The Company, Everhome and the Everhome Shareholders are each individually referred to as a “Party” or collectively, as the “Parties”).
