This Agreement sets forth the terms and conditions applicable to the licensing of software from Censys, Inc., a Delaware corporation with its principal place of business at 116 S. Main St, Ann Arbor, MI 48104, USA (“Censys”) and the customer (“Customer”) and its "Affiliates" which include any party, any entity controlling, controlled by or under common control with Customer, through the AWS marketplace. The offer of the Service as a contract listing on the AWS Marketplace, and Customer’s purchase of the corresponding Service on the AWS Marketplace, constitutes each Party’s respective acceptance of this Agreement and their entry into the Agreement. Unless defined elsewhere in this Agreement, terms in initial capital letters have the meanings set forth in Section 1. Customer and Censys may be referred to collectively as the “Parties” or individually as a “Party”.
