This Settlement Agreement, dated as of this 23rd day of May 2023, is entered into by and between Richard Charitat (“Plaintiff”), individually and on behalf of the Settlement Class (as defined below), by and through Settlement Class Counsel (as defined below), and Defendant Pape- Dawson Consulting Engineers, LLC f/k/a Pape-Dawson Engineers, Inc. (“Pape-Dawson”) in order to effect a full and final settlement and dismissal with prejudice of all claims against Pape-Dawson alleged in the above-captioned litigation on the terms set forth below and to the full extent reflected herein. Capitalized terms shall have the meaning ascribed to them in Section II.1 of this Settlement Agreement.
