In connection with the Potential Transaction, HT is prepared, subject to the terms and conditions of this Confidentiality Agreement (the “Agreement”), to make available to Recipient, its employees, directors and officers and other representatives (each, a “Representative”), certain Confidential Information (as defined below) that is non-public, confidential or proprietary in nature.
