WHEREAS pursuant to a term sheet effective May 28, 2023 (the “Term Sheet”) entered into between the Corporation and Gotham, the Corporation agreed to complete a non- brokered private placement (the “Offering”) of units of the Corporation (each, a “Unit”) in two tranches, the first of which was closed on June 12, 2023 for aggregate proceeds of US$500,000 (the “Initial Tranche”) and the second and final tranche was to be for gross proceeds of US$7,000,000;
