This Memorandum of Understanding (“MOU”), dated as of May 16, 2012, is made and entered into by the Consumer Financial Protection Bureau (“CFPB”) and the Prudential Regulators, consisting of the Board of Governors of the Federal Reserve System (“Federal Reserve Board”), the Federal Deposit Insurance Corporation (“FDIC”), the National Credit Union Administration (“NCUA”), and the Office of the Comptroller of the Currency (“OCC”). (Collectively, the CFPB and the Prudential Regulators are referred to as “Agencies.”) This MOU is intended to facilitate the fulfillment of the Agencies’ responsibilities in a manner consistent with the provisions of sections 1022, 1024, and 1025 of the Dodd-Frank Wall Street Reform and Consumer Protection Act (“Dodd-Frank Act”).1
