Belt Tech Inc’s acceptance of Buyer’s order to purchase Services, or Products is expressly made conditional on assent to the Terms and Conditions, which along with any applicable sales order issued by Seller constitute a binding “Contract” between the parties. This Contract constitutes the complete and final agreement between Seller and Buyer for Products and Services. Any additional or different conditions contained in any document furnished by Buyer, including but not limited to, any purchase order or any acknowledgement, are deemed to be material and are hereby objected to and rejected by the Seller. If such agreement shall be deemed an offer or counter – offer by Buyer, Seller expressly rejects such offer or counter – offer and limits acceptance to these Contract terms and expressly objects to any different or additional terms proposed by Buyer.
